Partnerships

A partnership is an unincorporated collaborative arrangement between two or more persons, whereby each of the partners is required to make a certain contribution. The purpose of the partnership is to achieve proprietary benefits based on the partners' contributions.

In The Netherlands there are three types: the partnership, the general partnership (v.o.f.) and the limited partnership (c.v.).

The first of these types of partnership is a form of unincorporated organization involving the conduct of a profession, as is the case with e.g. doctors, civil-law notaries and accountants.

The general partnership and limited partnership are legal forms in which a business is conducted. The difference between these two forms of partnership is that the limited partnership, in addition to the ordinary partners, also has one or more partners who only contribute funds, but may not act towards the public on behalf of the partnership.

The specialist lawyers at CMS Derks Star Busmann can advise you in choosing the most appropriate legal form and the form of the agreement. They will draw up the agreement for you, in notarial form if required. Naturally you can also rely on us to take care of any amendments to the agreement.

Our tax specialists can also advise you on any tax aspects that may play a role when entering into a partnership.
